These terms are an agreement between you and Warplabs LLC ("WarpExit", "we", "us"). By creating an account, starting a plan, or opening a room link, you agree to them. If you use WarpExit for a company, you agree on its behalf.

What WarpExit is

WarpExit is software for sharing information about a business that is for sale. A seller creates a room, connects data sources with read-only access, uploads files, and sends each buyer a link. Buyers confirm their email, sign an NDA in the page, and see what the seller has chosen to share at each stage of the deal.

WarpExit is not a broker, advisor, escrow agent or marketplace. We do not find buyers, value businesses, negotiate deals or hold funds.

We are not a party to your NDA

Any NDA signed in a room is an agreement between the seller and the buyer only. WarpExit provides the software used to present and sign it and to store a record of the signature. We are not a party to that NDA, we do not enforce it, and we are not responsible for either party's compliance with it. No legal, tax or financial advice

Nothing in WarpExit, including dashboards, reconciliations, guides and teasers, is legal, tax, accounting, investment or financial advice. Buyers and sellers should get their own professional advice before making decisions. See our disclaimer.

We organize data, we don't audit it

Data is organized from the seller's connections and uploads. WarpExit does not audit or verify it. Each figure is labelled with where it came from: live from Stripe, RevenueCat or Mercury, or uploaded by the seller. Reconciliations, balance checks and summaries are not an audit, a review, a quality of earnings report, a valuation or an assurance engagement of any kind, and nobody should rely on them as one.

Seller responsibilities

  • You are responsible for the accuracy and completeness of everything you upload or write in a room, including notes and explanations. Items you upload are labelled "Uploaded by seller" so buyers can see they did not come from a connected source.
  • You must have the right to connect each data source and to share its data and your files with the buyers you invite.
  • You decide what each buyer sees and when, including when to mark a buyer "LOI signed", which unlocks customer names and bank statements for that buyer.
  • If your data includes personal information about your customers or staff, you are responsible for having a lawful basis to share it with buyers.

Buyer responsibilities

  • Use a room only to evaluate the deal it relates to, and only as allowed by the NDA you signed.
  • Do not try to copy, scrape, remove watermarks from, or get around the view-only protections on files.
  • Do not share your room link. Links are issued per buyer, and activity in a room is recorded against the buyer it was sent to.

Connected sources

We connect to Stripe with a restricted read-only key, to RevenueCat with a v2 secret key that has read-only permissions, and to Mercury with a read-only token. Statements from any other bank, and every other file, are uploaded by the seller. We do not ask for, and you should never give us, credentials that can move money or change settings. Credentials are stored with envelope encryption and deleted within 7 days of your plan ending or your account being deleted. You can revoke any connection at any time from the source itself. Figures from connected sources are shown as the source reports them; we do not guarantee that a source's data is correct or complete.

Each month we email the seller what is live in the room and what is missing. Files sent as a reply are added to that room as uploads. We accept a reply only from the room owner's email address, sent to the room's private address; anything else is discarded.

Plan and billing

  • Building a room is free: connecting sources, uploading files and previewing the room. A plan starts when you create the first buyer link in a room. Buyers never pay.
  • Each room has one plan, billed monthly or annually as you choose at checkout. It renews automatically at the end of each period until you cancel.
  • The price depends on the room's monthly recurring revenue (MRR): $39 a month or $390 a year under $10,000 MRR, and $79 a month or $790 a year at $10,000 MRR and above. MRR comes from Stripe or RevenueCat if connected. If neither is connected, the lower price applies.
  • The price level is set at checkout and checked again only at renewal, never during a billing period. If it will change at renewal, we email you at least 7 days before the renewal date.
  • You can cancel at any time. The plan stays active until the end of the period you have paid for, then the room closes to buyers. Your data stays saved until you delete it, and stored credentials are deleted within 7 days of the plan ending.

Refunds

If you ask within 7 days of your first payment for a room and no buyer has signed an NDA in that room, we will refund that payment in full. Renewal payments, and payments for a room where any buyer has signed an NDA, are not refundable, except where the law requires otherwise. To ask for a refund, email mail@warplabs.co from the address on your account.

Your content

You keep ownership of everything you upload or connect. You give us permission to host, process, display and transmit it only as needed to run the service for you and the buyers you invite. We do not sell your data, and we do not use it to advertise.

Acceptable use

Do not use WarpExit to share information you have no right to share, to mislead buyers, to break the law, or to interfere with the service or other users. We may suspend a room or account that we reasonably believe is being used this way, and will tell you why unless the law prevents it.

Ending your use

You can delete a room or your account at any time. When a room is deleted, we delete its data as described in our privacy policy. We may end these terms if you seriously breach them. Sections that by their nature should survive, such as those on liability and the NDA, survive.

Warranties and liability

We work to keep WarpExit available, accurate and secure, but we provide it as is, without warranties beyond those the law requires. To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, or the outcome of any deal, and our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose.

Changes to these terms

We may update these terms. For material changes, we will tell account holders by email before they take effect. The date at the top shows when they last changed.
